These Terms of Service ("Terms") govern access to and use of EasyHours.
EasyHours is operated by Martin Nielsen, Zollikerstrasse 23, 8008 Zürich, Switzerland ("EasyHours", "we", "us", or "our").
By accessing or using EasyHours, you agree to these Terms.
1. Who These Terms Apply To
EasyHours is a business service intended for companies, employers, and other organisations, together with their authorised users.
If you sign up for, purchase, administer, or use EasyHours on behalf of a company or other organisation, you represent that you are authorised to bind that organisation to these Terms. In that case, "Customer" means that organisation.
If you are an employee, contractor, or other authorised user of a Customer, these Terms apply to your use of the Service to the extent relevant, but the Customer remains primarily responsible for the account.
2. The Service
EasyHours is a software service for workforce and time tracking. Depending on the plan and configuration, features may include:
- account and company management;
- employee and member management;
- clock-in and clock-out workflows;
- kiosk and shared-device attendance flows;
- breaks, manual entries, and timesheets;
- approvals, reporting, and analytics;
- schedules and related workflows;
- location and geofence-based features;
- notifications and reminders; and
- subscription and billing management.
We may improve, change, add, or remove features from time to time.
3. Accounts, Access, and Authorised Users
The Customer is responsible for:
- keeping account information accurate and up to date;
- controlling who is invited to use the Service;
- assigning and managing user roles and permissions;
- maintaining the security of devices, kiosk hardware, and account access;
- ensuring shared-device kiosk use is supervised appropriately; and
- all use of the Service under its account, except to the extent caused by our breach of these Terms.
Users must keep login credentials, device access, and verification codes secure and must not share them except as expressly permitted for approved shared-device or kiosk workflows.
We may suspend or restrict access if we reasonably believe an account, device, or session is being used unlawfully, insecurely, or in breach of these Terms.
4. Customer Data
As between the parties, the Customer retains its rights in the data, content, files, records, and other materials submitted to or generated through the Service by or on behalf of the Customer ("Customer Data").
The Customer grants EasyHours a limited, non-exclusive right to host, copy, process, transmit, store, back up, and display Customer Data solely as reasonably necessary to provide, secure, support, maintain, and improve the Service and to comply with law.
The Customer is responsible for:
- the legality, accuracy, and content of Customer Data;
- obtaining any permissions, notices, or consents required for its use of the Service;
- its decisions about employee monitoring, attendance workflows, schedules, and payroll-related use; and
- ensuring its use of the Service complies with applicable employment, labour, payroll, tax, workplace, and privacy laws.
5. Privacy and Data Processing
Our Privacy Policy explains how EasyHours handles personal data.
In general, EasyHours acts as:
- a controller for its own account administration, security, billing, support, and business operations data; and
- a processor for workforce and time-tracking data processed on behalf of a Customer.
If the Customer uses EasyHours to process personal data about employees, contractors, or other personnel, the Customer is responsible for providing any notices and establishing any lawful basis required for that processing.
6. Location Features and Kiosk Use
EasyHours may offer optional location, geofence, and kiosk features.
If the Customer enables those features, the Customer is solely responsible for using them lawfully and appropriately, including with respect to:
- employee or worker notices;
- device permissions;
- workplace policies;
- local labour and privacy law requirements; and
- the physical and operational security of shared devices and kiosk environments.
EasyHours is not responsible for how a Customer chooses to configure or rely on these features for internal attendance, payroll, disciplinary, or compliance decisions.
7. Acceptable Use
You must not, and must not allow others to:
- use the Service in violation of law or third-party rights;
- upload unlawful, infringing, defamatory, or malicious content;
- misuse location or monitoring features;
- attempt to gain unauthorised access to the Service or related systems;
- interfere with the integrity, security, or performance of the Service;
- reverse engineer, copy, resell, or exploit the Service except as permitted by law or with our written consent;
- bypass subscription, billing, account, or usage limits; or
- use the Service to develop or benchmark a competing service in a way that is unfair or abusive.
8. Subscriptions, Trials, Billing, and Refunds
a. Paid plans
EasyHours may offer monthly, annual, and biennial subscription plans.
b. Free trials
Unless stated otherwise at signup or checkout:
- monthly subscriptions may include a 14-day free trial; and
- annual or biennial subscriptions may include a 30-day free trial.
If the Customer does not cancel before the end of the applicable trial period, the consequences described at signup, checkout, in an order flow, or in the selected billing arrangement will apply.
c. Trial conversion
If the Customer selects a paid plan together with invoice billing, card billing, direct debit, or another deferred or pre-authorised billing arrangement at signup, checkout, or through an order flow, the subscription will automatically convert into the selected paid plan when the trial ends unless it is cancelled before the trial ends.
When a trial converts into a paid subscription, the first paid subscription term begins immediately at the end of the trial, and the applicable fees, taxes, and other amounts for that paid term become due and payable.
d. Renewals
Unless cancelled before the end of the current subscription term, paid subscriptions renew automatically for the same billing cycle.
e. Payment
Fees are billed in advance using the payment method or billing arrangement provided by the Customer. The Customer authorises EasyHours and its payment providers to charge the applicable fees, taxes, and other amounts due.
If the Customer has selected invoice billing or another deferred billing arrangement, EasyHours may issue an invoice for the applicable fees at the start of the paid term. Unless a different payment period is expressly stated at checkout, in an order flow, or on the invoice, invoiced amounts are due within 14 days of the invoice date.
f. Taxes
Fees do not include taxes unless expressly stated otherwise. The Customer is responsible for applicable taxes, duties, or similar charges, excluding taxes based on our net income.
g. No refunds
Payments are non-refundable except where required by mandatory law.
h. Non-payment
Overdue amounts remain payable even if the Customer stops using the Service after a paid term has started.
We may suspend or limit access to the Service for overdue amounts. Where permitted by applicable law, we may also charge reasonable recovery costs and interest on overdue amounts.
9. Third-Party Services
EasyHours may rely on third-party providers for parts of the Service, including payment processing, email delivery, cloud hosting, storage, maps, geocoding, and notifications.
We are not responsible for third-party services themselves, but we are responsible for our own obligations under these Terms.
10. Availability, Support, and Changes
We aim to provide a reliable service, but we do not promise that the Service will be uninterrupted, error-free, or available at all times.
We may perform maintenance, updates, repairs, or changes that temporarily affect availability.
We may also modify or discontinue features where reasonably necessary for legal, security, technical, or business reasons.
11. No Payroll, Legal, or Employment Advice
EasyHours is a software tool. It does not provide legal, payroll, tax, HR, or employment advice.
Customers are responsible for reviewing time records, approvals, schedules, location settings, overtime calculations, exports, and reports before relying on them for payroll, compliance, disciplinary, or legal purposes.
12. Intellectual Property
EasyHours and its related software, design, branding, documentation, and content, excluding Customer Data, are owned by EasyHours or its licensors and are protected by intellectual property laws.
These Terms give the Customer and authorised users a limited, non-exclusive, non-transferable, revocable right to use the Service during the subscription term and in accordance with these Terms.
If you provide feedback, suggestions, or ideas about EasyHours, we may use them without restriction or compensation.
13. Suspension and Termination
The Customer may stop using the Service at any time and may cancel its subscription through the Service or any available billing workflow.
Unless stated otherwise in the applicable billing workflow, cancellation takes effect at the end of the current trial or paid subscription term. Cancellation does not affect fees already paid, fees already due, or invoices already issued or validly issuable for a paid subscription term that has already started.
We may suspend or terminate access to all or part of the Service immediately or on notice if:
- fees remain unpaid;
- the Customer or a user materially breaches these Terms;
- use of the Service creates a security, legal, or operational risk; or
- we are required to do so by law.
Upon termination:
- rights to use the Service end;
- access to Customer Data may be limited or removed; and
- we may delete Customer Data after a reasonable period, subject to legal obligations, backup cycles, and our retention practices.
Customers should export any data they wish to retain before cancellation or shortly after termination.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available".
We disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent such disclaimers are not permitted by law.
15. Limitation of Liability
To the maximum extent permitted by law:
- EasyHours is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity; and
- EasyHours's total liability arising out of or relating to the Service or these Terms will not exceed the total fees paid by the Customer to EasyHours for the 12 months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by mandatory law, including liability for wilful misconduct or gross negligence where applicable.
16. Changes to the Service or These Terms
We may update these Terms from time to time.
If we make a material change, we may notify Customers through the Service, by email, or by another reasonable method. The updated Terms will become effective when posted or on the stated effective date.
By continuing to use the Service after the effective date, you agree to the updated Terms, to the extent permitted by law.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of Switzerland, excluding conflict of laws rules.
The courts of Zürich, Switzerland have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, unless mandatory law requires otherwise.
